Logfire Data Processing Addendum

This data processing appendix (including its annexes)"Appendix"Incorporation of Customer (as defined below) with Pydantic Services Inc.(“PSI”) between Terms of Service("Logfire clause"). This appendix will be published in _Logfire clause_This annex reflects the commitment of the parties to comply with data protection laws (as defined below) concerning the processing of customers 'personal data. If the language in this annex or any of its annexes is different from _Logfire clause_In case of conflict, this appendix shall prevail.

1. definition

For the purposes of this Appendix, the following terms and those defined in the body of this Appendix shall apply. All capitalized terms not expressly defined in this Appendix shall have the meanings assigned to them in the Cloud Clause.

  • "Customer","You ","Yours."It means consent. _Logfire clause_The Company is committed to the sustainable development of its businesses.

  • "Customer Personal Data"means that the customer uploads to the service and_PSI_All personal data processed on behalf of customers.

  • "Data Protection Law"means all applicable data privacy, data protection and cybersecurity laws, rules and regulations to which Customer's Personal Data is subject."Data Protection Law" may include, but is not limited to, the California Consumer Privacy Act of 2018 ("CCPA"); the EU General Data Protection Regulation 2016/679("GDPR") and their respective national implementing legislation; the Swiss Federal Data Protection Law; The UK General Data Protection Regulations; and the UK Data Protection Act 2018 (in each case amended, adopted or superseded from time to time).

  • "personal data"has the meaning assigned to the term "personal data" or "personal information" under applicable data protection laws.

  • "Processing"or"Processing"means any operation or set of operations performed on Personal Data or Personal Data Sets, whether or not by automated means, such as collection, recording, organization, construction, storage, adaptation or alteration, retrieval, consultation, use, provision by transmission, dissemination or otherwise, alignment or combination, restriction, erasure or destruction.

  • "Security incidents"A violation of safety rules that results in_PSI_Unauthorized or illegal destruction, loss, alteration, unauthorized disclosure or access to customer personal data.

  • "Child Processor"refers to_PSI_Authorized suppliers and third-party service providers that process customers 'personal data.

  • "Logfire Services"refers to services provided by_PSI_under_Logfire Terms_

2. Terms of processing of customer personal data

  • Recorded description。PSI should be based on Logfire clause, this Appendix and any instructions mutually agreed upon in writing by authorized employees of both parties to process Customer Personal Data to provide _Logfire Services_unless prohibited by law_if the PSI_PSI will notify the Customer in writing if there is reason to believe that there is a conflict between the Customer's instructions and applicable law, or otherwise seeks to process the Customer's Personal Data in a manner inconsistent with the Customer's instructions.

  • Authorization to use subprocessors. in fulfillment Logfire clause_under _PSI To the extent necessary for the performance of contractual obligations, the Client hereby authorizes PSI Hire subprocessors. We keep a copy subprocessor quotient List, which we update at least 7 days before adding or replacing any child processors.

  • PSI and subprocessor compliance。PSI_agree (i) to enter into a written agreement with the subcontractor regarding the subcontractor's processing of customer personal data, which imposes customer personal data protection requirements on the subcontractor consistent with this appendix; and (ii) to provide for the subcontractor's processing of customer personal data. _PSI The sub-processors continue to be responsible to customers for failing to fulfil their obligations regarding the processing of customers 'personal data.

  • Confidentiality. Anyone authorized to process customer personal data must either contractually agree to keep such information confidential or assume appropriate legal confidentiality obligations.

  • Inquiries and requests for personal data. In the case required by data protection law,_PSI_Agree to provide reasonable assistance and comply with reasonable instructions from the customer relating to the exercise by individuals of their rights in the customer's personal data in accordance with data protection laws.

  • prohibits the sale of customer personal data._PSI_may not sell customer personal data because the CCPA definition of the word "sell" is "sell."

  • Data protection impact assessment and prior consultation. In the case required by data protection law, if, in the reasonable judgment of the customer,_PSI_if the type of processing performed requires a data protection impact assessment and/or prior consultation with the relevant data protection authority_PSI_Agrees to provide reasonable assistance to the customer at the customer's expense.

  • Demonstrable Compliance._PSI_agrees to provide information reasonably necessary to demonstrate compliance with this Appendix upon reasonable request by Customer.

  • aggregation and de-identification.PSI_may: (i) compile aggregated and/or de-identified information related to the provision of_Logfire services, provided that such information cannot reasonably be used to identify customers or any data subjects related to customer personal data ("aggregated and/or de-identified data"); and (ii) use aggregated and/or de-identified data for its legitimate business purposes.

3. information security program

Security measures._PSI_shall use commercially reasonable efforts to implement and maintain reasonable administrative, technical and physical safeguards to protect customer personal data.

4. security incident

Attention. Upon discovery of a security event,_PSI_agrees to provide you with written notice within the time frame required by data protection law, without undue delay.

5. Cross-border transfer of customer personal data

  • Cross-border transfer of personal data. Customer authorization PSI and its sub-processors to transfer customers 'personal data across borders, including from the European Economic Area, Switzerland and/or the United Kingdom to the United States.

  • European Economic Area, Swiss and British Standard Contract Clauses. If the customer will originate from the European Economic Area (“EEA”), Switzerland and/or the UK to countries that have not been found to provide an adequate level of protection under applicable data protection laws PSI, the parties agree that the transmission shall be subject to the British Standard Contract Clauses or the current EU Standard Contract Clauses, as applicable. For the purposes of this Appendix,"British Standard Contract Clausesmeans the standard contractual clauses for data controller to data processor transfers approved by the European Commission in Decision 2010/87/EU,"Current EU Standard Contract Clauses "means the standard contractual clauses approved by the European Commission in Decision No. 2021/914. For transfers of customer personal data outside the UK, the British standard contractual clauses will apply. For transfers of customer personal data outside the European Economic Area or Switzerland, the current EU standard contractual clauses will apply. Controller versus processor clauses will apply to data transfers when the customer acts as controller under the current EU standard contractual clauses. Processor to processor clauses will apply to data transfers where the customer acts as processor under the current EU standard contractual clauses. The British standard contractual clauses and the current EU standard contractual clauses will form part of this annex.

6. audit

If the Data Protection Act grants the Client the right to audit, the Client (or its designated representative) may, at its own expense, audit_PSI_policies, procedures and records relating to the processing of the Client's personal data. Any audit must be at the Client's expense:

  1. during normal working hours of_PSI_;

  2. reasonable advance notice_PSI_;

  3. in a manner that prevents unnecessary interference with the operation of_PSI_; and

  4. In addition, any audit should be limited to one audit per year, unless the audit is conducted under the direction of a government agency with appropriate jurisdiction.

7. Deletion of customer personal data

in_Logfire clause_Upon expiration or termination,_PSI_At the customer's option and in accordance with_PSI_Deletion or return of all customer personal data (excluding any backup or archived copies, which shall be subject to the terms and conditions of_PSI_Data retention schedule deleted) unless required by applicable law_PSI_Keep copies. In such cases, unless required by applicable law,_Otherwise PSI_This customer personal data will be segregated and protected from any further processing.

8. Customer Obligations

The Customer represents and warrants that it has (i) complied and will comply with data protection laws;(ii) provided the data subject with a privacy statement or similar document that clearly and accurately describes the Customer's practices in relation to the processing of the Customer's Personal Data; and (iii) complied with the requirements of this Appendix and _Logfire clause_it has obtained and will obtain and continue to have all necessary rights, legal bases, authorizations, consents and permissions required to process customer personal data;(iv) _PSI_The processing of the Customer's Personal Data pursuant to this Appendix and Agreement does not violate data protection laws or any agreement or obligation between the Customer and any third party.

9. processing details
